1. Acceptance of Terms
Welcome to Rehearse. By accessing or using our training video feedback platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms constitute a legally binding agreement between you and Rehearse ("we," "us," or "our"). By creating an account or using the Service, you represent that you have read, understood, and agree to these Terms.
2. Eligibility and Account Requirements
2.1 Age Requirements
- You must be at least 18 years old to create an account as a coach, club manager, or parent
- Accounts for users under 18 must be created and managed by a parent or legal guardian
- By creating an account for a minor, you represent that you are their parent or legal guardian and have authority to consent to their use of the Service
2.2 Account Registration
To use the Service, you must:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access or security breach
2.3 One Account Per User
You may not create multiple accounts or allow others to use your account. Each user must have their own account.
3. Parent and Guardian Responsibilities
If you create or manage an account for a minor:
- You are responsible for all content uploaded to or accessed from that account
- You consent to the collection and use of the minor's information as described in our Privacy Policy
- You are responsible for monitoring the minor's use of the Service
- You agree to supervise the minor's interactions with instructors and other users
- You may access, review, and delete the minor's content at any time
4. Acceptable Use Policy
4.1 Permitted Uses
The Service is provided for legitimate training and instructional purposes. You may:
- Upload training videos for students and instructors
- Provide timestamped feedback and instructional comments
- Share videos within your organization or team
- Review and analyze performance
4.2 Prohibited Conduct
You agree not to:
- Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
- Violate any laws, regulations, or third-party rights
- Upload content containing nudity, sexual content, or exploitation of minors
- Harass, bully, intimidate, or threaten any user, especially minors
- Impersonate any person or entity or misrepresent your affiliation
- Upload viruses, malware, or any harmful code
- Attempt to gain unauthorized access to the Service or other users' accounts
- Scrape, data mine, or use automated tools to access the Service
- Interfere with or disrupt the Service or servers
- Use the Service for any commercial purpose without our written consent
- Upload copyrighted material without permission
- Share login credentials or allow unauthorized access to accounts
5. Content and Intellectual Property
5.1 Your Content
You retain ownership of all content you upload ("Your Content"). By uploading content to the Service, you grant us a limited, worldwide, non-exclusive, royalty-free license to:
- Store, process, and display Your Content as necessary to provide the Service
- Share Your Content with users you designate (instructors, students, parents)
- Make backup copies for disaster recovery purposes
- Process videos for streaming and playback optimization
This license ends when you delete Your Content or terminate your account, except for backup copies which will be deleted according to our standard retention schedule.
5.2 Content Responsibility
You are solely responsible for Your Content. You represent and warrant that:
- You own or have the necessary rights to upload and share Your Content
- Your Content does not violate any laws or third-party rights
- You have obtained all necessary consents from individuals appearing in videos
- Your Content complies with these Terms and our Acceptable Use Policy
5.3 Our Intellectual Property
The Service, including its design, features, code, and trademarks, is owned by Rehearse and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service without our written permission.
5.4 Content Moderation
We reserve the right, but have no obligation, to monitor, review, or remove content that violates these Terms or is otherwise objectionable. We may remove content or suspend accounts without prior notice.
6. Privacy and Data Protection
Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.
7. Payment and Subscription Terms
7.1 Fees
Access to certain features may require payment of subscription fees. All fees are:
- Stated in the currency shown at the time of purchase
- Exclusive of applicable taxes, which will be added as required by law
- Charged in advance on a recurring basis for subscription plans
- Non-refundable except as required by law or stated in our refund policy
7.2 Billing
By providing payment information, you authorize us to charge the applicable fees to your payment method. You are responsible for maintaining valid payment information.
7.3 Cancellation
You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. You will continue to have access until the end of the paid period.
7.4 Price Changes
We may change our fees at any time. We will provide at least 30 days' notice of fee increases for existing subscriptions.
8. Service Availability and Modifications
We strive to provide reliable service, but we do not guarantee that:
- The Service will be available at all times or without interruption
- The Service will be error-free or secure from unauthorized access
- Any content will be stored indefinitely or without loss
We reserve the right to modify, suspend, or discontinue the Service or any features at any time with or without notice.
9. Termination
9.1 Termination by You
You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service immediately ceases.
9.2 Termination by Us
We may suspend or terminate your account at any time if:
- You violate these Terms or our Acceptable Use Policy
- Your use poses security or legal risks
- Your account has been inactive for an extended period
- We are required to do so by law
- We discontinue the Service
We will provide reasonable notice when practicable, except for immediate termination necessary to prevent harm or legal violations.
9.3 Effect of Termination
Upon termination:
- Your access to the Service immediately ceases
- Your Content will be deleted according to our data retention policy
- You remain liable for any outstanding fees or obligations
- Provisions that by their nature should survive termination will continue to apply
10. Disclaimers and Limitations of Liability
10.1 Service Provided "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
10.2 No Guarantee of Results
We do not guarantee that the Service will improve performance or meet your specific requirements. Any reliance on the Service or content is at your own risk.
10.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REHEARSE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM:
- Your use or inability to use the Service
- Any unauthorized access to or alteration of your content or data
- Any conduct or content of third parties on the Service
- Any content obtained from the Service
IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.
10.4 Essential Purpose
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Rehearse, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Your Content or any content uploaded through your account
12. Dispute Resolution
12.1 Informal Resolution
Before filing a claim, you agree to contact us at support@rehearse.app to seek informal resolution. We will attempt to resolve disputes in good faith.
12.2 Governing Law
These Terms are governed by the laws of Australia, without regard to conflict of law principles. For Australian users, you may have additional rights under Australian consumer law that cannot be excluded.
12.3 Jurisdiction
Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Australia.
13. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on this page with a new "Last Updated" date
- Sending an email notification to your registered email address
- Displaying a prominent notice in the Service
Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rehearse regarding the Service.
14.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
14.3 No Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
14.5 Third-Party Rights
These Terms do not create any third-party beneficiary rights.
